1. Acceptance of Terms
By accessing and using the Nixa platform ("Service"), you accept and agree to be bound by the terms and provision of this agreement.
If you do not agree to abide by the above, please do not use this service. These Terms of Service constitute a legally binding agreement between you and Nixa regarding your use of the Service.
By creating an account or using our Service, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.
2. Service Description
Nixa provides a comprehensive SaaS platform designed to help organizations manage their data, automate workflows, and enhance operational efficiency.
Our Service includes but is not limited to: data management tools, workflow automation, analytics dashboards, collaboration features, and API access.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
Service availability and performance may vary based on your subscription plan and usage.
3. User Accounts and Responsibilities
To access certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials.
You agree to provide accurate, current, and complete information when creating your account and to update such information as necessary.
You are solely responsible for all activities that occur under your account and agree to immediately notify us of any unauthorized use.
Each user account is intended for use by a single individual. Sharing account credentials is prohibited.
You must be authorized by your organization to bind it to these terms if you are registering on behalf of an entity.
4. Acceptable Use Policy
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:
- To violate any applicable local, state, national, or international law or regulation
- To transmit or procure the sending of any advertising or promotional material without our prior written consent
- To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
- To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service
- To introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
- To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service
- To use the Service in any manner that could disable, overburden, damage, or impair the Service
5. Intellectual Property Rights
The Service and its original content, features, and functionality are and will remain the exclusive property of Nixa and its licensors.
The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
You retain ownership of any content you submit, post, or display on or through the Service ("User Content").
By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content for the purpose of providing the Service.
You represent and warrant that you own or control all rights in and to the User Content and have the right to grant the license granted above.
6. Data Privacy and Security
Your privacy is important to us. Please refer to our Privacy Policy, which also governs your use of the Service, for information on how we collect, use and disclose your personal information.
We implement appropriate technical and organizational security measures to protect your data against unauthorized access, disclosure, alteration, or destruction.
You are responsible for maintaining the security of your account credentials and data. You must notify us immediately of any suspected security breach.
7. Service Availability and Support
We strive to maintain high service availability and provide:
- Uptime Target: 99.9% service availability
- Support: Technical support during business hours (Monday-Friday, 9 AM - 5 PM EST)
- Maintenance: Scheduled maintenance with advance notice
- Security: Continuous monitoring and security updates
While we work to maintain continuous service, we cannot guarantee uninterrupted access and are not liable for temporary unavailability.
8. Payment Terms
Payment terms are established in your service agreement and may include:
- Subscription Fees: Monthly or annual subscription payments
- Usage-Based Fees: Charges based on platform usage or data storage
- Professional Services: Custom development, training, or consulting fees
All fees are due according to the payment schedule in your service agreement. Late payments may result in service suspension.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Nixa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.
Our total liability for any claim related to the Service shall not exceed the amount paid by you for the Service during the twelve (12) months preceding the claim.
10. Termination
Either party may terminate this agreement with thirty (30) days written notice. We may terminate or suspend your account immediately if you breach these Terms.
Upon termination:
- Your right to use the Service will cease immediately
- You will have 30 days to export your data
- We will delete your data according to our data retention policy
- All provisions that should survive termination will remain in effect
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict of law provisions.
Any disputes arising from these Terms or your use of the Service will be resolved through the courts of Quebec, Canada.
